Ilyashev & Partners Advises on Establishment of International Construction Consortium

News date: 27 July 2026

Ilyashev & Partners Law Firm provides legal advice on the establishment of an international construction consortium between a Ukrainian company and a foreign investor.

Ilyashev & Partners’ client is a leading construction company operating in the general, residential, and non-residential construction markets. The joint project involves founding a construction consortium in Kyiv between a Ukrainian company and a foreign entity to implement large-scale infrastructure and construction initiatives.

As part of the transaction support, Ilyashev & Partners’ Antitrust and Competition Practice team conducted a comprehensive analysis of the relevant product and geographic markets in which the future consortium members and their affiliated entities operate, assessing the impact of the alliance’s establishment on market competition.

Following the review of the submitted application, the AMCU concluded that the establishment of the consortium and the concerted actions of its participants do not require merger clearance from the Anti-Monopoly Committee of Ukraine.

The formation of international consortia serves as an effective mechanism for attracting foreign direct investment and cutting-edge technologies into the development of Ukrainian infrastructure. Our objective as legal counsel was to provide complete legal certainty for the client as early as the deal structuring phase. Obtaining the AMCUs preliminary clearance confirmed the transparency of the transaction, allowing the project to launch without regulatory delays,” stated Oleksandr Fefelov, Partner and Head of Antitrust and Competition Practice at Ilyashev & Partners.

Anastasiia Leontieva, Lawyer at Ilyashev & Partners, also worked on the project.
